Premium Gold Website Package

• Included in your base package purchase$2599.00

• Two domain name registered for 2 years (Ex: www.YourName.com), or transfer of your existing domain
• Hosting for one year ($475/year after first year) to include:
• Changes to Written Text & Photos (Does not include changes to graphic designs or forms. For more details, see below.)
• 10 Email Accounts ($30/year for each additional account)
• Advanced Search Engine Optimization (see below)
• Online Website Statistics
• Access to ProHealth Design’s PreDeveloped Content
• Placement of Printable Patient Forms, up to 8 forms total
• EZ Appointment Request embedded in your site
• Smile Gallery with no more than 14 images total for the gallery.
• Links to external pages, up to an average of 2.5 per page.

ProHealth Design agrees to create a template website as specified above. Base price does not include any add-ons or ammenities not already specified. The terms and pricing in this agreement may be modified at any time.

Premium Package Terms

Time Line: Completion Date

When submitting final text and images, please keep images and Word Doc Text Files in separate folders burned to a CD unless otherwise discussed.

Depending of the quantity of the site please allow 2-3 weeks working time for final production, beginning after ProHealth Design receives and approves submitted content. ProHealth Design and the client must work expeditiously to complete the website.

Terms of Payment

At time of purchase, payment can be made in full or No less than half is required before proceeding.

1/2 of the grand total will be due upon purchase and signing of contract. The remaining balance can be paid in full or in 3 equal installments over the three months following completion of website. ProHealth Design will apply a 5% discount to the remaining total if paid in full within two weeks of completion of website.

FAILURE to make payments, according to the specified terms will result in suspension of site until full payment is received.

Point of Contact

Client shall designate a single Point of Contact in the accompanying Order Form. Client’s Point of Contact shall have full authority to enter into agreements and make binding decisions on behalf of Customer. Client agrees that ProHealth Design may rely on representations made by client’s Point of Contact. Client may change its Point of Contact at any time by giving written notice to ProHealth Design in accordance with the notice provisions of this Agreement. ProHealth Design is under no obligation to accept instructions from anyone other than the Point of Contact.

Smile Gallery

Our Smile Gallery is included in Premium Gold packages but can be added to a Premium Silver package for $450. Client may submit up to 14 pictures total, suggested to be used for 7 patients each with a before and after image. Images are subject to approval, based on image size and format.

PreDeveloped Content

ProHealth Design is not responsible for any changes made to the our Predeveloped Content by the client. Client assumes all liability for changes.

Final Web Page Content

Final text will be submitted and signed for by client. The content of the web pages will be supplied by the client and executed as specified by the client in the "Website Planning Worksheet”. Client assumes all liability for submitted content. ProHealth Design reserves the right to decline content based on appropriate nature and subjects. After final text is submitted, any necessary changes may result in additional costs.

Each web page will have one image or graphic. Unless otherwise discussed, page photos will be selected from ProHealth Design’s library of professional images appropriate to the content of each web page. Client may submit up to three images or graphics, subject to ProHealth Design approval, and not for use in the masthead.

In case the client desires additional WebPages beyond the original number of pages specified above, the client agrees to pay ProHealth Design an additional $75.00 for each additional webpage. Client supplied graphics or photos beyond the 3 images total shall be billed at an additional $35.00 each.

If client requests changes to the design or page choices of client’s website after design work has begun, additional charges may incur. With hosting provided by ProHealth Design, free changes are provided to written text and photos when furnished via e-mail. Changes to design graphic items such as headings, text within the masthead, buttons, forms and artwork will be billed at our low hourly rate.

Permission and Ownership of Material

The client represents to ProHealth Design and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to ProHealth Design for inclusion in WebPages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend ProHealth Design from any claim or suit arising from the use of such elements furnished by the client.

ProHealth Design reserves the right to decline any submitted material whether for inappropriate content or quality issues.

The client is assigned rights to use as a website the design, graphics, and text contained in the finished assembled website. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners.

Client agrees to allow ProHealth Design to use their name or website design in marketing material, either print or Internet.

Hosting

If hosting services are provided by ProHealth Design, the following services are included in the client’s hosting plan: E-mail Accounts (as outlined above), Online Website Statistics, Free basic text and photo changes to your website (basic changes made only once a month)(not including changes to forms, buttons, headings, text within the masthead or other design graphic changes). First year’s hosting fees are applied with initial package purchase. If client requests a change in their domain name, they will be responsible for the cost thereof. The initial domain registration cost cannot be refunded.

Subject to above content, this Agreement shall be for a minimum period of 1 year from the date hereof and shall auto-renew for an additional one-year period unless terminated by either party giving to the other not less than 30 days prior written notice. Hosting fees will be billed annually or monthly.

Security

Client acknowledges that the Internet is not a secure or completely reliable system, and that the purpose of any Services is to allow end users easy access to Client’s Content. The Company will take those precautions and the Company deems reasonable in its sole discretion to secure Client’s Web Site from attack, but the Company makes no warranty that there will be no outages or interruptions of service, or that Client’s Content will be secure against attack of any form by end users or other third parties.

Indemnity

Client agrees to indemnify, save and hold ProHealth Design, its officers, agents, employees, successors and assigns, harmless from any and all liability, claims, demands, losses and damages (including attorney fees and court costs) arising out of or in any way connected with any claim or action by a third party arising from any information, designs, logos, drawings, or other material and data supplied or furnished to ProHealth Design and used by ProHealth Design in the products and services provided client hereunder. ProHealth Design is not responsible for links that are placed on client’s website which link to other sites. It is the client’s responsibility to routinely check links and let ProHealth Design know if revisions are needed.

Limitation of Liability

ProHealth Design assumes no responsibility with respect to client’s or end user’s use of the software, website or hosting services and shall not be liable for consequential, incidental, and special damages, including but not limited to loss of use, business interruptions and los of profits or incidental, consequential, punitive or exemplary damages, even if ProHealth Design is aware of the possibility thereof. ProHealth Design promises no results from advanced search marketing efforts. ProHealth Design in no event shall be liable for more than the total fees actually received by it from the client for the services during any 12-month period.

Sole Agreement

The agreement contained in this contract constitutes the sole agreement between ProHealth Design and the client regarding this website. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for two (2) months after both parties sign this contract. Continued services after that time will require a new agreement.

Initial Payment Policy

If the client halts work and the work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed. No portion of this initial payment will be refunded.

If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
